Apricity Fertility UK Limited – In Creditors’ Voluntary Liquidation (“the Company”)

1. What has happened to the Company?

In late December 2024, the Director of the Company considered its financial position and determined that it was appropriate for the Company to be placed into a Creditors’ Voluntary Liquidation (“CVL”) process. The Company took steps to notify stakeholders of cessation of its business and operations with effect from 31 December 2024, including placing a notice on its website.

Following this, creditors were notified of the intention to enter CVL and were provided with information including an explanatory note setting out the background to the position. In the event that you are a creditor of the Company who did not receive this information, it can be made available upon request.

Mark Smith and Stephen Cork of Cork Gully LLP were appointed to act as Joint Liquidators of the Company with effect from 13 February 2025. Further details on how to contact the Joint Liquidators can be found in Question 9.

For the avoidance of doubt, use of the term “creditor” in this FAQ also includes patients who have been identified as potentially being owed monies by the Company.


2. What is a CVL?

A CVL is a formal insolvency process whereby a company voluntarily decides to close because it is insolvent, meaning it can no longer pay its debts. Liquidators are subsequently appointed, as described in Question 1, and they will sell the company's assets and distribute proceeds to creditors. Once the liquidator has completed their duties and has filed their final report, the CVL is brought to an end and the Company dissolved.

Creditors should note that, as part of their duties, the Joint Liquidators have a duty to consider the conduct of those who have been directors of the Company at any time in the three years preceding the CVL. Within three months of the liquidation, the Joint Liquidators will submit a confidential report to the Secretary of State to include any matters which have come to our attention during the course of our work.


3. What happens if the Company owes me money?

When a company enters a CVL process, anyone who is owed money by the Company at the date of appointment is a creditor. This means you are entitled to make a claim for the amount the company owes you however any return to creditors is currently uncertain.

To claim the money you are owed, you will need to file a proof of debt with the Joint Liquidators which is available upon request if you have not already received one. This involves providing documentation (e.g., invoices, contracts, loan agreements) that proves the debt. Claims will only be adjudicated if the Joint Liquidators determine that there will be a return to creditors in this matter.


4. Will I receive a return/dividend in relation to monies owed?

At this stage, the prospect of dividend payment is uncertain. Should there be a dividend payment, the Joint Liquidator will provide an update to creditors as soon as reasonably practicable.


5. What is the current timeline?

The Joint Liquidators are responsible for ensuring that all legal and regulatory requirements are met, as well as taking steps to realise assets of the Company. At this stage, the timeline for the liquidation process is uncertain however the Joint Liquidators expect to be in a better position to provide an update on return/dividend to creditors within the next three months.


6. What happened to patients who have stored eggs, embryos or sperm?

We understand that patient eggs, embryos or sperm are currently being stored at the following clinics:

  • Herts & Essex Fertility.

  • King’s Fertility. - IVF London.

  • Manchester Fertility.

  • HSFC.

  • Aria Fertility.

  • Lister Fertility.

  • Avenues.

Since entering the CVL process, patients are required to contact the clinics in relation to future arrangements. If you are uncertain which storage facility is applicable to your patient eggs, please contact the Joint Liquidators who will advise you accordingly.


7. What will happen to my treatment?

Prior to Liquidation, the Company arranged patients to be transferred to another clinic. Since the Company ceased operations and has been placed into liquidation, patients will be required to contact the new service provider to continue their treatment. Any patients who have not been contacted in relation to this by the Company should contact the Joint Liquidators to discuss appropriate steps.


8. How can I access my medical records?

The medical records are currently held by the French parent company. The Joint Liquidators are liaising with them to obtain further information and will provide an update as soon as possible.

Important Notification of Ceasing Operations

Sadly, from 1st January 2025, Apricity Fertility is ceasing all operations , including appointments, consultations, tests, and treatments.

The team is heartbroken and, alongside our partner IVF clinics, is doing everything it can to support treatment continuity plans for our patients. Patients will either be able to continue the treatment they have paid for at a partner clinic, or if they cannot they will receive a refund. 

We can assure all patients that ongoing safe storage of frozen eggs, sperm and embryos will be provided by our partner IVF clinics.

We have sent an initial email to all patients, and will be in touch with your personal update as soon as possible. Our patient support team will remain in place during January to ensure this is in place for all patients.

In addition, leading fertility charities, The Fertility Alliance, and Fertility Network UK, are also kindly offering additional support to those who need it.

Update on 7 January 2025

All patients currently undergoing IVF treatment, who have chosen to continue care at one of our partner clinics, have now been transferred.
We have now commenced the refund process for our patients. If you are a private pay patient, you will receive an email over the coming week with details. Refunds will be made during the week commencing 13 January.  
Patients who accessed our clinic as part of an insurance programme or fertility payment plan provider, are asked to liaise directly with their insurer regarding refunds.
